The China enterprises are named in the following order: “City + Brand + Industry + Organization form”. The differences between domestic and foreign enterprises lie in whether there are phrases like “Province, City and County” after “City name”. Usually there are three ways of naming foreign enterprises: put “City name” 1. before Brand; 2.put it between Brand and Industry with brackets; 3. put it between Industry and Organization form with brackets.

While “Manufacturing Factory” has the similar characteristics and rules of naming with “Individual Operator”, the branches of foreign enterprises only need to add phrases “City + Rep. office (branch)”to its former company name. Since May 2006, Beijing Industry & Commerce Administration Bureau has ordered that “office” is no longer allowed to set up and the former one should transform into branch for further operation. In addition, the foreign investors mostly accustomed to using “Super Brand” company names like: Asia, Asia-Pacific, International, Development, Exploring, Group Company, etc. Actually these titles have been restricted in company naming, hence no need trying to use these titles where there is not only high demand for registered capital, but also approval from Beijing “State Administration for Industry and Commerce”.

Location:Administrative Province/ City/ County. Brand: Formed by more than 2 Chinese Brand, More than 2 Chinese characters with no letter/number; unable to have the same Brand in the same Bureau for Industry and Commerce; not permitted to have the same Brand with the enterprises, which have changed names less than one year, or the business licenses have been cancelled less than 3 years. When personal names are Brand, should be investors or shareholders; Approval Organ: Industrial & Commercial Bureau in local city.

Name Check: Managed by local Administrative Ministry of Industry & Commerce. Only 30 RMB is charged. Required documents for name check: 1. 2 to 10 company names, remark about the contacting way with the shareholders/ legal entity; 2. Business scope (within 60 Brand).

Name Approval: Done within three workdays. When applying for company name registration, the agents or representatives appointed by the enterprise should submit the following documents to the relevant agency: 1. Applying Letter; 2. Feasibility Study; 3. Certificate of License; 4. Certificate of Authorization. 5. Checking investment amount and investment proportion should pay 100RMB. If such phrases like “China/ Int’l/ Asia-pacific…”are included, then needs approving by the State Administrative Ministry of Industry and Commerce.

Name Change: It is not allowed to change the company name within one year's foundation. The name can be valid for 1year. For name changing or terms deferral, apply for registration again. Within 30 days of name changing, the branches organs should also be changed. Three workdays is enough for dealing with company name change. If the new names have phrases like China/National, or have not defined its administrative area, a written notice for approval from the State Administrative Ministry of Industry and Commerce should be submitted.
